Recommends policies and procedures regarding structure and process. Identifies/recruits new
members with perspectives and skills critical to the 's effectiveness; nominates/recommends
candidates for election as officers; conducts assessment of performance (individually and
corporately) at least annually and provides pertinent feedback; creates and manages periodic
orientation and training opportunities.

Reviews and recommends to ends and executive limitations policies relating to administrative
matters (e.g., contracting processes, finance, information systems, human resources, communication
and advocacy) ensuring that the organization effectively addresses its mission and realizes the agreed
upon vision; and monitors performance against stated policy.

Reviews and recommends to ends and executive limitations policies relating to program
and service matters (e.g., needs assessment, continuum of care, priority of services, accessibility
and effectiveness) ensuring that the organization effectively addresses its mission and realizes the
agreed upon vision; and monitors performance against stated policy.

Manages governance process; monitor overall performance of the CEO against the ends and
executive limitation policies promulgated by the ; recommends CEO employment contractual
provisions; and acts on behalf of upon request and between meetings as necessary.
